Agreements
- Non-Disclosure Agreement
A non-disclosure agreement (NDA), also known as a confidentiality agreement (CA), confidential disclosure agreement (CDA), proprietary information agreement (PIA) or secrecy agreement (SA), is a legal contract between at least two parties that outlines confidential material, knowledge, or information that the parties wish to share with one another for certain purposes, but wish to restrict access to.
2. Startup Agreement
A startup agreement between a university and a startup team intending to utilize university incubator facilities typically encompasses terms governing the utilization of resources, intellectual property rights, and financial arrangements, including payback as royalties over a defined period.
The UBLC, University of Moratuwa (UoM) uses a council-approved startup agreement template to formalize collaborations with startup teams that use university resources, including incubator facilities. This carefully crafted template ensures that all agreements between the university and startup entities are clear, fair, and legally compliant.
3. Licensing Agreement
A licensing agreement refers to a legal, written contract between two parties wherein the property owner gives permission to another party to use their brand, patent, industrial design, or trademark. The agreement, which is set between the licensor (the property owner) and the licensee (the permitted party), contains details on the type of licensing agreement, the terms of usage, and how the licensor is to be compensated. Contract types vary based on what is being licensed. Licensing agreements also alleviate any disputes related to sales, issues of quality, and royalties.
The UBLC, University of Moratuwa (UoM) uses licensing agreement templates approved by its council. These templates have been drafted to ensure that all licensing agreements entered into by the university are clear, fair, and legally compliant. By adhering to these standardized templates, UBLC UoM aims to streamline the licensing process, protect intellectual property rights, and foster mutually beneficial partnerships with industry stakeholders.
